These Terms and Conditions of Sale apply to purchases made on shopdecor.com and any localized version or market of the ShopDecor online store operated by BAZZURINI S.r.l. Unipersonale. They are intended to be clear and practical, while preserving any mandatory consumer rights that may apply under the laws of the customer's country of habitual residence.

2. Scope of these Terms

These Terms govern the offer, sale and delivery of products purchased through the ShopDecor online store. Before placing an order, customers are invited to read these Terms, the Privacy Policy, and the Returns, Withdrawal, Complaints & Warranty Policy.

Where the customer acts as a consumer, nothing in these Terms limits any mandatory consumer protection rights available under applicable law. Where the customer acts for business, trade, craft or professional purposes, specific provisions for business customers may apply to the extent permitted by law.

3. Consumers and business customers

A consumer is a natural person acting for purposes outside their trade, business, craft or profession. A business customer is a customer purchasing for purposes related to a trade, business, craft or profession, including where the customer provides business details, company name, VAT number or other invoicing information during checkout.

ShopDecor sells to both consumers and business customers. Certain rights, including statutory withdrawal rights, may apply only to consumers where required by applicable law. Business customers may not benefit from consumer-only rights unless mandatory law provides otherwise.

4. Account, checkout information and invoicing

Customers must provide complete, accurate and up-to-date information during checkout. If a customer wishes to purchase as a business and receive an invoice, the customer must select the relevant company/invoicing option before payment and provide the required business details, including VAT number where applicable.

For Italian business customers, additional electronic invoicing details may be required, such as SDI code or PEC address. For eligible EU business customers with a valid VAT number verified through VIES, VAT may be removed from the order where the legal conditions for intra-EU B2B treatment are met. If the information provided is inaccurate, incomplete or not verifiable, ShopDecor may request further information or apply the tax treatment required by law.

5. Product information, images and availability

Product descriptions, images, dimensions, colors, finishes, materials, lead times and other information are provided with care. Minor differences may occur due to screen settings, manufacturing tolerances, materials, finishes, lighting, photography or supplier updates.

ShopDecor sells new design products from third-party brands and manufacturers. Products are not manufactured under the ShopDecor brand. Some products may not be physically available in ShopDecor's warehouse at the time of order and may need to be ordered from the supplier or manufacturer after the customer places the order.

Availability and estimated lead times are provided in good faith and are not guaranteed unless expressly stated as binding. If a product becomes unavailable after order confirmation, ShopDecor will inform the customer without undue delay and offer available options, which may include waiting for availability, accepting partial fulfilment, choosing an available alternative where appropriate, or cancelling the affected item or order. Any amount paid for unavailable products will be refunded where required.

6. Prices, VAT, import duties and taxes

Prices are shown in the currency and tax configuration applicable to the market selected by the customer. For EU consumer orders, prices are shown including VAT, unless the checkout clearly indicates otherwise as permitted by law. For Italian customers, prices are shown including VAT. For eligible EU business customers with a valid VIES VAT number, prices may be shown or recalculated excluding VAT where the relevant conditions are met.

Shipping costs, where applicable, are shown before the order is placed. Prices may change at any time, but changes do not affect orders already confirmed, except in case of obvious pricing errors as described below.

For orders shipped outside the European Union, import duties, customs charges, taxes and local fees may apply. Where duties and import taxes are charged at checkout, the shipment should be treated as duties and taxes paid by ShopDecor for that order, subject to the terms shown at checkout. Where duties and import taxes are not charged at checkout but are due in the destination country, ShopDecor will inform the customer after receiving the order and before shipment where reasonably possible. In that case, the customer may be required to pay such charges directly to the carrier, customs authorities or other competent parties, unless otherwise agreed or required by law.

If the customer refuses delivery because of duties, taxes, import charges or other destination charges that were properly communicated to the customer, any refund, return cost, storage cost or re-shipment cost will be handled in accordance with applicable law and the circumstances of the case.

7. Obvious pricing or product errors

If a product is listed with an obvious pricing, technical or descriptive error, ShopDecor may contact the customer to offer the possibility to confirm the order under the correct conditions or cancel the order. If the order is cancelled, any amount already paid will be refunded without undue delay.

8. Payment methods

Available payment methods may include Shopify Payments, payment cards processed through the relevant payment infrastructure, Apple Pay, Google Pay, PayPal and bank transfer. Additional methods may be offered depending on the market and checkout configuration.

For bank transfer orders, payment instructions are sent to the email address provided by the customer after the order is confirmed. Orders paid by bank transfer may be processed only after payment is received or otherwise confirmed by ShopDecor.

9. Order confirmation and contract formation

The customer submits an order by completing checkout and clicking the final payment or order confirmation button. The customer is responsible for checking all order details before submitting the order. The contract is concluded when ShopDecor confirms acceptance of the order, unless a different mandatory rule applies.

The order confirmation email acknowledges receipt of the order and includes or links to relevant information, including these Terms and customer rights information. If an order cannot be accepted, ShopDecor will inform the customer and refund any amount paid for the unavailable or cancelled order.

10. Delivery methods, street-level delivery and special services

ShopDecor ships to selected countries and territories shown or enabled at checkout, subject to product restrictions, carrier availability, sanctions, export/import limitations, platform limitations or internal logistics decisions.

Unless expressly agreed otherwise, standard delivery for online checkout orders is street-level or curbside delivery. Delivery to upper floors, assembly, installation, white-glove delivery, appointment-based special services or other enhanced services are not standard checkout services. Customers may contact Customer Support before placing an order to request an estimate for special delivery needs, subject to availability, destination, carrier, product characteristics and additional costs.

Estimated delivery dates and lead times are shown in good faith on product pages, checkout, order communications or customer support communications. Some products may depend on supplier or manufacturer production and dispatch times. If ShopDecor becomes aware of a material shipping delay, it will inform the customer. Where applicable law gives the customer the right to cancel due to delay, the customer may exercise that right in accordance with applicable law.

11. Failed delivery, storage and return to sender

The customer must provide a complete and accurate delivery address and reasonably cooperate with delivery. If delivery cannot be completed because of incorrect information, customer absence, refusal of delivery, failure to respond to the carrier, or other reasons not attributable to ShopDecor, the order may be stored by the carrier or returned to ShopDecor.

Any additional storage, re-delivery, return-to-sender or handling costs will be assessed case by case and charged only where permitted by applicable law. Mandatory consumer rights remain unaffected.

12. Passing of risk and ownership

For consumer orders, risk passes to the customer when the customer, or a third party indicated by the customer other than the carrier, physically receives the goods, unless mandatory law provides otherwise. For business customers, risk may pass according to the applicable delivery terms or applicable law.

Ownership of the products passes to the customer only after full payment of all amounts due for the order, unless mandatory law provides otherwise.

13. Statutory right of withdrawal, returns, complaints and warranty claims

Customers may submit order-related requests through the dedicated electronic function available on the website: Statutory Right of Withdrawal & Complaints Form (https://www.shopdecor.com/pages/withdrawal-and-complaint-form). The form can be used for statutory withdrawal requests, return requests, complaints, damaged products, defective or non-conforming products, missing, incomplete or incorrect products, wrong products, delivery issues and other order-related requests. The form is accessible without logging in. After submission, the customer receives an electronic confirmation of receipt, provided that the email address entered in the form is correct.

Customers are strongly encouraged to use the form because it helps identify the order and process the request efficiently. This does not prevent customers from using any other clear statement where applicable law allows or requires it.

Detailed rules on statutory withdrawal, returns, complaints, warranty claims, refunds, replacements and transport damage are set out in the Returns, Withdrawal, Complaints & Warranty Policy, which forms part of the customer information made available by ShopDecor.

14. Business customers

For business customers, statutory withdrawal rights available to consumers do not apply unless mandatory law provides otherwise. Warranty, liability, jurisdiction and other rules for business customers may differ from consumer rules to the extent permitted by applicable law.

Business customers must inspect delivered goods within a reasonable time and notify ShopDecor of any issue as required by applicable law and commercial practice, without prejudice to any mandatory rights that cannot be excluded.

15. Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including liability for fraud, wilful misconduct, gross negligence, death or personal injury where applicable.

To the extent permitted by applicable law, ShopDecor is not liable for indirect, incidental, consequential or purely economic losses, loss of profit, loss of business opportunity or loss resulting from events beyond its reasonable control. This limitation does not affect mandatory consumer rights.

16. Force majeure and events beyond reasonable control

ShopDecor is not responsible for delay or failure to perform obligations caused by events beyond its reasonable control, including supplier delays, carrier disruptions, customs delays, strikes, natural events, war, sanctions, epidemics, technical failures, platform disruptions or legal restrictions. ShopDecor will take reasonable steps to inform affected customers and handle the order according to applicable law.

17. Data protection

Personal data is processed in accordance with the Privacy Policy. Customers should read the Privacy Policy to understand how ShopDecor collects and processes personal data in connection with orders, customer support, statutory withdrawal, complaints, warranty claims, payments, shipping, marketing and website technologies.

18. Changes to these Terms

ShopDecor may update these Terms from time to time. The version applicable to an order is the version made available to the customer at the time the order is placed. Changes do not affect orders already confirmed, unless required by applicable law or expressly agreed with the customer.

19. Governing law and jurisdiction

These Terms are governed by Italian law, without prejudice to any mandatory consumer protection rights that may apply under the law of the consumer's country of habitual residence.

For consumers, any dispute will be subject to the jurisdiction provided by applicable consumer protection rules. For business customers, to the extent permitted by applicable law, disputes may be submitted to the competent courts of Italy, without prejudice to any mandatory rules that may apply.
